Terms of Service
1. Services Provided
The Service Provider shall provide outsourced staffing solutions to the Customer, including the assignment of qualified personnel to perform designated roles and responsibilities, more specifically described as Available Services as set out in Schedule 1.
2. Client Responsibilities
Clients must:
Provide accurate and timely information.
Respond to requests and approvals promptly.
Obtain any third-party permissions required for us to deliver services.
Delays caused by client inaction may affect delivery timelines.
3. Payment Terms
Invoices are issued monthly in arrears.
Payment is due within 7 business days of invoice receipt.
Overdue invoices may incur interest and may result in service suspension.
Prices are reviewed annually based on inflation (CPI).
4. Confidentiality
We treat all client information as confidential and expect the same in return. Confidential data will only be shared where legally required or as agreed in writing.
5. Intellectual Property
Clients retain ownership of materials they provide.
We retain rights to our own tools and processes.
Clients are granted a license to use deliverables as outlined in the contract.
6. Data Protection
We act as a data processor, and clients are the data controller. We follow GDPR and UK Data Protection laws, maintain secure data handling, and notify you of any breaches.
7. Service Standards & Complaints
Emails are acknowledged within 2 business days.
Complaints are acknowledged within 8 hours and resolved within 28 working days.
If unresolved, escalate to hassan@deskmasters.co.uk (resolution in 28 days).
8. Liability
Our liability is capped at the total amount paid by you over the past 12 months.
We’re not responsible for indirect losses (e.g. profits, reputation, or data loss).
We maintain professional indemnity insurance.
9. Termination
Clients may terminate during the first month without notice.
After the first month, 2 months' notice is required.
Either party may terminate immediately for non-payment or serious breach.
10. Dispute Resolution
Disputes will first be handled through negotiation. If unresolved, we may use arbitration under English law. Legal jurisdiction: England and Wales.
11. Other Terms
We may revise prices and terms with written notice.
We may use subcontractors while maintaining full responsibility.
We do not form partnerships or joint ventures with clients under these terms.
